1. DEFINITIONS

“Account” means a registered user account.

“Buyer” means any person or entity purchasing, reserving, leasing, licensing, routing, acquiring, or otherwise obtaining rights associated with a Number.

“Carrier” means any telecommunications carrier, interconnected VoIP provider, wireless provider, CLEC, SIP provider, messaging provider, telecom intermediary, routing provider, or related operator.

“Marketplace” means the PhoneNumbers.com marketplace platform where Numbers may be listed, brokered, marketed, sold, leased, transferred, or routed.

“Number” means any telephone number, vanity number, toll-free number, DID, SMS-enabled number, routing identifier, telecom endpoint, or related telecommunications identifier.

“Seller” means any user listing or offering a Number or related telecom asset.

“Services” means all products, services, APIs, telecom routing services, marketplace functionality, brokerage services, forwarding services, lookup services, messaging services, and related offerings provided by Phone Numbers, LLC.

“Telecom Laws” means all applicable telecommunications laws, FCC regulations, TCPA requirements, anti-spam laws, robocall restrictions, messaging regulations, STIR/SHAKEN obligations, privacy laws, carrier rules, and telecom compliance requirements.

2. ELIGIBILITY & USER REPRESENTATIONS

Users must be at least eighteen (18) years old and legally capable of entering binding agreements.

If you access the Services on behalf of a company or organization, you represent and warrant that you have authority to bind such entity to these Terms.

You further represent and warrant that:
• Information provided to PhoneNumbers.com is accurate and current
• You will comply with all applicable Telecom Laws
• You will not use the Services for unlawful activity
• You possess authority to transfer, port, or route Numbers submitted to the platform
• Your use of the Services will not violate third-party rights

3. PLATFORM SERVICES

PhoneNumbers.com operates a telecommunications marketplace and infrastructure platform.

Services may include:
• Premium phone number marketplace services
• Number brokerage services
• Routing and forwarding services
• SIP and telecom services
• Messaging-related services
• Number parking services
• Reverse phone lookup tools
• Number intelligence services
• Escrow coordination
• API access
• Marketplace listing services
• Telecom integrations
• Recurring payment arrangements
• Lease structures
• Reservation systems

PhoneNumbers.com may modify, suspend, discontinue, or restrict any portion of the Services at any time.

4. TELEPHONE NUMBER RIGHTS & REGULATORY STATUS

Telephone numbers are regulated telecommunications resources subject to carrier control, regulatory oversight, numbering authority requirements, and telecommunications laws.

Users acknowledge and agree that:
• Telephone numbers are not traditional property
• Rights associated with Numbers may be contractual only
• Carrier approval may be required for assignment or portability
• Continued routing and operation depend on third-party systems
• Telecom authorities may impose restrictions or reassignment requirements

Except where expressly agreed otherwise in writing, users obtain contractual rights related to use or operational control of Numbers and do not obtain ownership rights recognized by telecom regulators.

PhoneNumbers.com does not guarantee:
• Permanent assignment
• Permanent routing availability
• Portability eligibility
• SMS capability
• Carrier acceptance
• Deliverability
• Call completion
• Future resale value

5. USER ACCOUNTS & VERIFICATION

Users are responsible for maintaining account confidentiality and security.

PhoneNumbers.com may require:
• Government-issued identification
• Business verification
• Telecom authorization records
• LOAs
• Proof of operational authority
• Tax documentation
• Compliance review materials

We reserve the right to suspend or restrict accounts pending verification or fraud review.

6. MARKETPLACE TERMS

PhoneNumbers.com may act as:
• Marketplace operator
• Broker
• Direct seller
• Telecom provider
• Routing provider
• Escrow facilitator
• Listing platform

All marketplace transactions are subject to:
• Fraud review
• Compliance review
• Carrier approval
• Telecom verification
• Operational review
• Payment authorization

We may reject, delay, suspend, freeze, cancel, or reverse transactions at our sole discretion.

Listings may be removed or rejected for:
• Fraud risk
• Trademark disputes
• Telecom compliance concerns
• Regulatory risk
• Misleading representations
• Marketplace integrity concerns

7. SELLER OBLIGATIONS

Sellers represent and warrant that:
• They possess lawful authority regarding listed Numbers
• Listings are accurate and non-misleading
• Transfers do not violate carrier rules
• Listings do not infringe third-party rights
• Numbers are not associated with unlawful activity

Sellers may not:
• Circumvent the marketplace
• Manipulate pricing
• Submit fraudulent listings
• Misrepresent ownership or authority

8. BUYER OBLIGATIONS

Buyers are responsible for independently verifying:
• Portability eligibility
• Carrier compatibility
• Messaging capability
• Telecom operational requirements
• Intended use-case compatibility

Completed marketplace transactions are generally final unless otherwise required by law.

9. RECURRING PAYMENTS & LEASE ARRANGEMENTS

Certain Numbers or Services may be offered through recurring payment arrangements, lease structures, staged payment agreements, or reservation systems.

Until payment obligations are satisfied, Phone Numbers, LLC may retain:
• Operational control
• Assignment authority
• Routing authority
• Platform control rights
• Contractual control rights

Failure to make required payments may result in:
• Suspension
• Reclamation
• Reassignment
• Cancellation
• Loss of routing rights
• Marketplace relisting

10. PORTING & TRANSFERS

Porting and transfer requests depend upon:
• Carrier approval
• Technical compatibility
• Telecom verification
• Fraud review
• Regulatory compliance

PhoneNumbers.com does not guarantee successful portability or transfer completion.

Transfer timelines are estimates only.

Users agree to provide all reasonably requested documentation necessary to complete transfers.

11. TELECOM COMPLIANCE & PROHIBITED ACTIVITIES

Users agree to comply with all applicable Telecom Laws.

Prohibited activities include:
• Illegal robocalling
• SMS spam
• Caller ID spoofing
• Phishing
• Scam operations
• Traffic pumping
• Telecom fraud
• Harassment
• Deceptive marketing
• Unlawful lead generation
• Unauthorized call recording
• Spam traffic generation

PhoneNumbers.com may immediately suspend or terminate Services upon suspicion of unlawful activity, carrier abuse, reputational harm, or elevated telecom risk.

12. MESSAGING & ROUTING SERVICES

Messaging and routing services may be subject to:
• Carrier filtering
• Throughput limitations
• Registration requirements
• Geographic restrictions
• Technical limitations

PhoneNumbers.com does not guarantee:
• Message delivery
• Inbox placement
• Spam-free labeling
• Routing continuity
• Call quality
• Carrier acceptance

13. REVERSE LOOKUP & DATA SERVICES

Lookup and number intelligence services may rely upon:
• Third-party data providers
• Public records
• Carrier data
• Proprietary analytics
• User submissions

PhoneNumbers.com does not guarantee the accuracy, completeness, or legality of third-party data.

Users may not use lookup services for:
• Unlawful surveillance
• Harassment
• Discrimination
• Unauthorized FCRA-regulated purposes
• Identity theft
• Fraud

14. FEES, PAYMENTS & TAXES

Users agree to pay all:
• Marketplace fees
• Routing charges
• Telecom surcharges
• Regulatory fees
• Taxes
• Transfer fees
• Messaging charges
• Subscription fees

Unless otherwise stated, fees are non-refundable.

PhoneNumbers.com may suspend Services for nonpayment.

15. INTELLECTUAL PROPERTY

All platform technology, software, systems, APIs, branding, databases, content, designs, graphics, and marketplace infrastructure are owned by Phone Numbers, LLC or its licensors.

Users may not:
• Scrape platform data
• Copy marketplace listings
• Reverse engineer systems
• Reproduce content
• Resell platform access

16. PRIVACY & DATA PRACTICES

Use of the Services is also governed by the PhoneNumbers.com Privacy Policy.

PhoneNumbers.com may collect, retain, process, and disclose information as reasonably necessary to:
• Operate the Services
• Prevent fraud
• Comply with Telecom Laws
• Complete transactions
• Support telecom operations
• Cooperate with regulators and law enforcement

17. SUSPENSION & ENFORCEMENT RIGHTS

PhoneNumbers.com may suspend, restrict, freeze, delay, terminate, or investigate accounts or transactions for:
• Fraud risk
• Regulatory concerns
• Carrier complaints
• Telecom abuse
• Nonpayment
• Reputation risk
• Marketplace manipulation
• Security concerns
• Violations of these Terms

We may cooperate with carriers, regulators, law enforcement agencies, industry groups, and anti-fraud organizations.

18. DISCLAIMERS

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

PHONE NUMBERS, LLC DISCLAIMS ALL WARRANTIES INCLUDING:
• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• PORTABILITY SUCCESS
• ROUTING AVAILABILITY
• DATA ACCURACY
• MESSAGE DELIVERABILITY
• CONTINUOUS AVAILABILITY

We do not guarantee future value or appreciation of Numbers.

19. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PHONE NUMBERS, LLC SHALL NOT BE LIABLE FOR:
• LOST PROFITS
• LOST REVENUE
• LOST BUSINESS
• MISSED CALLS
• MISSED MESSAGES
• BUSINESS INTERRUPTION
• DATA LOSS
• INDIRECT DAMAGES
• CONSEQUENTIAL DAMAGES
• PUNITIVE DAMAGES

TOTAL LIABILITY SHALL NOT EXCEED:
• THE AMOUNT PAID TO PHONE NUMBERS, LLC DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR
• ONE HUNDRED U.S. DOLLARS ($100),
WHICHEVER IS GREATER.

20. INDEMNIFICATION

Users agree to indemnify and hold harmless Phone Numbers, LLC and its affiliates, officers, employees, contractors, licensors, and partners from claims arising from:
• Use of the Services
• Telecom law violations
• Fraudulent activity
• Misuse of Numbers
• Regulatory complaints
• Violations of these Terms

21. DISPUTE RESOLUTION & ARBITRATION

Any dispute arising from these Terms or the Services shall be resolved through binding arbitration in the State of Florida.

Users waive:
• Jury trial rights
• Class action participation
• Class arbitration participation

Phone Numbers, LLC may seek injunctive or equitable relief for fraud, abuse, nonpayment, telecom misuse, or intellectual property violations.

22. GOVERNING LAW

These Terms are governed by the laws of the State of Florida.

23. CHANGES TO TERMS

PhoneNumbers.com may update these Terms at any time.

Updated Terms become effective upon posting to the website.
Continued use of the Services constitutes acceptance of revised Terms.
